These Terms and Conditions ("Terms") govern your use of all mobile applications published by Axion AI LLC ("Axion AI," "we," "us," or "our"), including Deductly, HealthBridge, Axion Sleep Apnea Screener, PlateCheck, and ClearSkin AI (collectively, the "Apps"). By downloading or using any App, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our Apps, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use our Apps.

2. Description of Services

Axion AI publishes offline-first, privacy-respecting mobile applications. All core functionality operates on your device without requiring an internet connection or user account. Features, pricing tiers, and available actions may vary by app and by version.

3. Virtual Currency — Sparks ⚡

Certain Apps use a virtual currency called Sparks to meter specific in-app actions. The following terms apply to Sparks:

• No cash value. Sparks have no monetary value and cannot be exchanged for cash or cash equivalents under any circumstances.
• Non-refundable. Sparks that have been consumed through in-app actions cannot be refunded. Unconsumed Sparks may be eligible for refund pursuant to the applicable App Store's refund policy.
• Non-transferable. Sparks are tied to the device on which they were purchased and cannot be transferred to another device, account, or user.
• Device-bound. Sparks are stored locally on your device using hardware-bound encryption. If you uninstall the App, perform a factory reset, or replace your device, unconsumed Sparks may be permanently lost. We are not responsible for Sparks lost due to device changes.
• No expiration unless otherwise stated at the time of purchase.
• Pricing. Sparks are sold in packs at prices displayed in the App. Prices are subject to change with each new app version. The price you pay is the price displayed at the time of purchase.

4. In-App Purchases and Subscriptions

Our Apps may offer consumable Sparks packs and auto-renewing subscriptions ("Privacy Pass") through Apple App Store or Google Play Store.

• Payment. All purchases are processed by Apple or Google. Your payment method on file with Apple or Google will be charged at the time of purchase.
• Subscriptions. Subscriptions automatically renew at the end of each subscription period unless cancelled at least 24 hours before the renewal date. You can manage and cancel subscriptions in your Apple ID or Google Play account settings.
• Auto-renewal disclosure. Subscription pricing and renewal terms are displayed at the time of purchase and in the App's settings screen. By purchasing a subscription, you authorize the applicable store to charge your payment method on a recurring basis.
• Refunds. All purchases are final except as required by applicable law or the applicable store's refund policy. Refund requests must be submitted directly to Apple or Google.
• Free tier. Each App provides a number of free uses before any purchase is required. The exact number of free uses is displayed in the App and may change between versions.

5. Ad-Supported Tier

Some Apps offer an ad-supported tier that provides unlimited access in exchange for displaying advertisements. By opting into the ad-supported tier:

• You consent to the display of third-party advertisements served by Google AdMob.
• Google AdMob may collect certain non-personally-identifiable device information for ad serving and measurement. Google's privacy policy applies to data collected by AdMob: policies.google.com/privacy.
• You may opt out of the ad-supported tier at any time by purchasing Sparks or a subscription.

HealthBridge exception: The HealthBridge app does not offer an ad-supported tier. HealthBridge is always free for patients.

7. Privacy

Our Apps are designed to operate without collecting personal information. No user accounts, email addresses, or cloud data are required. Data is stored locally on your device. Each App has its own Privacy Policy available at axionaiapps.com. Please review the applicable Privacy Policy before using an App.

8. Intellectual Property

All content, design, code, and assets within our Apps are the property of Axion AI LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of our Apps without prior written permission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Axion AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or personal injury, arising from your use of our Apps. Our total liability to you for any claim arising from use of our Apps shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Disclaimer of Warranties

Our Apps are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the courts of Suffolk County, Massachusetts.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through an App update or notice on our website. Continued use of our Apps after changes take effect constitutes acceptance of the revised Terms.
